THE STATE OF TEXAS § § KNOW ALL PERSONS BY THESE PRESENTS: COUNTY OF BEXAR § THAT, WHEREAS, PRESIDIO PARKWAY SENIOR REAL ESTATE, LLC, a Delaware limited liability company (“Borrower”), became indebted to PW NOTECO, LLC, a Delaware limited liability company, as successor in interest to CIT Bank, N.A. (together with its successors and assigns, “Lender’”), as evidenced by that certain Amended and Restated Promissory Note, dated August 3, 2022, in the original principal sum of FORTY EIGHT MILLION and 00/100 Dollars ($48,000,000.00) (the “Note”), executed and delivered by Borrower, LEESBURG SENIOR DEVELOPMENT COMPANY, LLC, a Delaware limited liability company, and WARRENTON SENIOR DEVELOPMENT COMPANY, LLC, a Delaware limited liability company, MC WARRENTON MANAGEMENT, LLC, a Delaware limited liability company, MC PRESIDIO MANAGEMENT, LLC, a Delaware limited liability company, MC LEESBURG MANAGEMENT, LLC, a Delaware limited liability company, to the order of Lender, as payee, bearing interest and being due and payable as therein provided; and WHEREAS, the indebtedness evidenced by the Note (the “Jndebtedness”) is secured by, among other items, certain liens, security interests and assignments, evidenced by, among other things (i) that certain Deed of Trust, Assignment of Leases and Rents, Security Agreement, and Fixture Filing (the “Deed of Trust”) dated September 27, 2019, executed by Borrower, to ERIC M. PFEIFLE, an individual, Trustee for the benefit of Lender, said Deed of Trust being filed for record and recorded in the Official Public Records of Real Property of Bexar County, Texas, NOTICE OF SALE BY SUBSTITUTE TRUSTEE — PAGE 1 POET’S WALK - PRESIDIO Doc# 20250900205 08/07/2025 09:07 AM Page 2 of 7 Lucy Adame-Clark, Bexar County Clerk under County Clerk’s File No. 20190195266, said Deed of Trust being assigned to Lender pursuant to that certain Assignment of Deeds of Trusts, Assignment of Rents and Leases, and Subordination, Non-Disturbance and Attornment Agreements, dated May 21, 2025, executed by First Citizens Bank & Trust Company, as successor in interest to CIT Bank, N.A., in its capacity as administrative agent and lender, recorded in the Official Public Records of Real Property of Bexar County, Texas, under County Clerk’s File No. 20250092728, and (ii) that certain Assignment of Rents and Leases (the “AZR”) dated of even date with the Deed of Trust, executed by Borrower to Lender, said ALR being filed for record and recorded in the Official Public Records of Real Property of Bexar County, Texas, under County Clerk’s File No. 20190195267, covering the property described in Exhibit “A” hereto, along with any and all appurtenances, improvements, fixtures and personal property of any kind located thereon or pertaining thereto, including without limitation any and all rights to the present or future use of wastewater, wastewater capacity, drainage, water or other utility facilities to the extent same pertain to or benefit all or any portion of said real property, including without limitation all reservations of or commitments or letters covering any such use in the future, whether now owned or hereafter acquired, and any leases and rents relating thereto, which are described therein (all of which is hereinafter referred to as the “Premises”); and WHEREAS, the Note and the Deed of Trust and all other documents securing the Note are now held by Lender (hereinafter referred to as “Beneficiary”), having an address of 2211 Michelson Drive, Suite 620, Irvine, California 92612 ; and WHEREAS, to the extent the Deed of Trust or any other security agreement held by Beneficiary covers both real and personal property, including without limitation any and all rights to the present or future use of wastewater, wastewater capacity, drainage, water or other NOTICE OF SALE BY SUBSTITUTE TRUSTEE ~ PAGE 2 POET’S WALK - PRESIDIO Doc# 20250900205 08/07/2025 09:07 AM Page 3 of 7 Lucy Adame-Clark, Bexar County Clerk utility facilities to the extent same pertain to or benefit all or any portion of the real property described on Exhibit “A” hereto, including without limitation all reservations of or commitments or letters covering any such use in the future, any of said personal property which is part of the Premises or which is otherwise covered by a lien or security interest in favor of Beneficiary will be hereinafter included in the definition of Premises as used herein and sold at public sale, hereinafter described, pursuant to Section 9.604 of the Texas Uniform Commercial Code; and WHEREAS, there may be certain leases, rental agreements, easements and/or other matters (collectively, the “Other Matters”) covering and/or affecting the Premises currently in existence; and WHEREAS, the liens securing the payment of the Indebtedness may be senior and i superior to one or more of the Other Matters and junior and inferior to other of the Other Matters; and WHEREAS, with respect to the liens securing the payment of the Indebtedness, which i are senior to the Other Matters, if any, Beneficiary may subordinate its liens securing the Indebtedness to any one or more of the Other Matters and may not so subordinate such liens to other of the Other Matters; and WHEREAS, in the event Beneficiary chooses to subordinate its liens securing the ; i i Indebtedness to any Other Matters, such decision will be announced at the foreclosure sale; and WHEREAS, default has been made in the payment of the Note and the Indebtedness, all
